Due diligences in Mergers and Acquisitions

The firm participates in different Due Diligence processes, both internal to clients and part of company purchase and sale processes.

We advise both buyers and sellers on issues such as severance pay, multi-employer pension plan withdrawal liability, health plan and other benefit plan termination issues, developing criteria for the buyer to use to determine what hiring employees, union negotiation and representation rights, succession issues and negotiation of decisions and effects.

We also assist you with the labor and workers' compensation aspects of the due diligence process when participating in a merger or acquisition.

Furthermore, if the company is in a process of “downsizing” its operations, we can advise it on issues such as compliance with the legal framework, claims and requests for severance pay, among others.

Partner Santiago Doña Vial is "very knowledgeable, up to date and always available to assist us," clients enthuse. Another interviewee also praises him for "his ability to provide effective and efficient solutions to problems."
